[20:24, 7/1/2018] George Busfield: not out of obligation or fear [20:24, 7/1/2018] Jay: Me / Aubs at least. [20:24, 7/1/2018] George Busfield: to you / Aubs always [20:24, 7/1/2018] George Busfield: I have no issue with that [20:25, 7/1/2018] George Busfield: or Linton [20:25, 7/1/2018] George Busfield: none [20:25, 7/1/2018] George Busfield: you have all put your skin in the game [20:25, 7/1/2018] Jay: But I think if MP has concerns he should know. The fact RS blocked you out from your questions back in 2015 / 2016 lead to him loosing the company. [20:25, 7/1/2018] George Busfield: RS did not own over 50% [20:25, 7/1/2018] George Busfield: I do [20:25, 7/1/2018] George Busfield: plus more importantly [20:26, 7/1/2018] George Busfield: I am not nor ever have stolen form the company or my peers [20:26, 7/1/2018] George Busfield: never [20:26, 7/1/2018] George Busfield: If I force the issue - MP has almost no rights [20:26, 7/1/2018] George Busfield: zero [20:27, 7/1/2018] Jay: Yes, but this sort of attitude isn't making for a healthy / trustful environment [20:27, 7/1/2018] George Busfield: I could hold a board meeting tomorrrow and advocate as a senior professional with almost 30 years experience I am entitled to a pay of £500k plus... [20:27, 7/1/2018] George Busfield: but I don't [20:27, 7/1/2018] George Busfield: nor will I [20:27, 7/1/2018] George Busfield: because I believed in us [20:27, 7/1/2018] George Busfield: and I am trying to still [20:28, 7/1/2018] George Busfield: but attitude? [20:28, 7/1/2018] George Busfield: my attitude is to rebuild / resurce our team [20:28, 7/1/2018] George Busfield: to buildon the potential at hand [20:28, 7/1/2018] George Busfield: to provide you with the transparency you ask for. [20:28, 7/1/2018] George Busfield: It has never been any different. [20:29, 7/1/2018] George Busfield: MP has turned up after the fight [20:29, 7/1/2018] George Busfield: and I try to include him again ot of respect and integrity. [20:29, 7/1/2018] George Busfield: but can't you see how he has joined the party after the event. [20:30, 7/1/2018] George Busfield: and that in what he has done re shares has exposed you and my mother and others to unnecessary risk [20:30, 7/1/2018] George Busfield: and against handshakes and good faith agreements we all discussed and made as to hypothetical futures - to protect everyone [20:31, 7/1/2018] George Busfield: and to honour morals that I / you I believed bought into [20:31, 7/1/2018] George Busfield: I have not and nor do I still deviate from that position. [20:31, 7/1/2018] George Busfield: Mehul threatened to start a company next door. [20:32, 7/1/2018] George Busfield: I am still trying to retain relationships in the interest of the company. [20:32, 7/1/2018] George Busfield: Adam Voce and I saved RAN limited [20:32, 7/1/2018] George Busfield: I and you protected everyone with JET [20:32, 7/1/2018] George Busfield: so yes it hurts when you question my integrity. [20:33, 7/1/2018] Jay: Yes, and even MP recognizes that, however recent actions seem to have been viewed in a very different light [20:33, 7/1/2018] George Busfield: recent actions? [20:33, 7/1/2018] George Busfield: And then that light is wrong. [20:33, 7/1/2018] George Busfield: CRM - I was not no... [20:33, 7/1/2018] George Busfield: I was not today because in 6 weeks we have 4 sales staff not just Alec. [20:34, 7/1/2018] George Busfield: I want better systems and CRM - but not at the cost of lost revenue to competitors [20:34, 7/1/2018] George Busfield: you asked for new IT - I agreed... [20:35, 7/1/2018] George Busfield: you and I spoke about numerous tax efficient / offf shore protective structures [20:35, 7/1/2018] George Busfield: ALL for the business benefit [20:35, 7/1/2018] George Busfield: and yet because I am away it seems your ear is turned [20:35, 7/1/2018] George Busfield: and that imo is not what you should have or be doing [20:35, 7/1/2018] George Busfield: you shuld have stood by my side relentless [20:36, 7/1/2018] George Busfield: as I have yours. [20:36, 7/1/2018] George Busfield: there is a reason that all my best friends are such [20:36, 7/1/2018] George Busfield: for almost without exception for 3 or 4 decades [20:36, 7/1/2018] George Busfield: because I do what is right [20:37, 7/1/2018] George Busfield: because I never leave their side [20:37, 7/1/2018] George Busfield: good or bad times [20:37, 7/1/2018] Jay: Just about everyone seems to be be questioning your actions and falling out as a result, and finally last week I did and the same happened [20:37, 7/1/2018] George Busfield: MP raised the issue e Ranvi in 2007 [20:37, 7/1/2018] George Busfield: re Ranvir [20:38, 7/1/2018] George Busfield: and that apparently I had been unfair / or too self rewarding in the deal when we bought in .... [20:38, 7/1/2018] George Busfield: I told him to call the Voce's [20:38, 7/1/2018] George Busfield: ask them. [20:38, 7/1/2018] George Busfield: And yes Jamie Voce raised it with me ... [20:38, 7/1/2018] George Busfield: he said legally I was entitled to do XYZ ... [20:38, 7/1/2018] George Busfield: but as a friend he felt I should have done ABC [20:39, 7/1/2018] George Busfield: and so... [20:39, 7/1/2018] George Busfield: I didn ABC... [20:39, 7/1/2018] George Busfield: I did ABC. [20:39, 7/1/2018] George Busfield: I didn't agree, but I didnt want to be on the wrong side of even being in a position they could question me [20:39, 7/1/2018] George Busfield: just about everyone? [20:39, 7/1/2018] George Busfield: questionning my actions? [20:40, 7/1/2018] George Busfield: like? [20:40, 7/1/2018] George Busfield: and such is leadership Jason. making difficult decisions despite challenge. [20:41, 7/1/2018] George Busfield: maybe watch the Darkest Hour or readup on Churchill. A man far stronger than I ... but perhaps worth reading about. [20:43, 7/1/2018] George Busfield: If he had given in to pressure or lack of belief we would all be beholdent to Hitler's legacy and likely a swastika flag flying over buckingham palace [20:43, 7/1/2018] George Busfield: I have made my decisions only in the interests of the business. Simple as that [20:44, 7/1/2018] George Busfield: And you should have and still should show the strength and loyalty to stand by my side, as Voce does. [20:44, 7/1/2018] George Busfield: These "eeverybody" have no sight of all the key and critical information at hand... how can they make effective decisions. [20:45, 7/1/2018] George Busfield: the reason for the intense difficulties are because you, and our team of musketeers have faultered and listened to gossip and heresay. [20:46, 7/1/2018] George Busfield: And in the finite, my values, my integrity and my word and my plans will proove true and indisputable. Not to mention that it is my stregth and and my resolute and ideas and intellect that have saved and secured this company. [20:47, 7/1/2018] George Busfield: Albeit I wholeheartedly and unreservedly accept that you and Mr Linton and more recently Mr Hayward have played a very integral part - not to mention Mr Voce. [20:48, 7/1/2018] George Busfield: And I do not detract from that in any way. [20:49, 7/1/2018] George Busfield: Leadership is difficult at times. Gossip very damaging. I gave you and Aubrey access to the bank because I trusted you - is this the actions of someone not focused on the success of the business.? [20:50, 7/1/2018] George Busfield: And even now I listen - intend to empower the team. But you have been so very wrong to doubt me and as I say that has personally hurt. [20:50, 7/1/2018] George Busfield: But so back to business... [20:51, 7/1/2018] George Busfield: You say everyone has issues with my actiosn or decisions? [20:51, 7/1/2018] George Busfield: actions.. [20:52, 7/1/2018] George Busfield: so share them once again please and I will reply to all to address this forthwith - indeed as I am already doing this weekend as every weekend. [20:52, 7/1/2018] George Busfield: In summary, despite my own feelings and disappointment, there is a business to get back on track so let us set about doing that. [20:54, 7/1/2018] George Busfield: And for the grace of god... let us not repliate the failings and low values of Mr Singhs position historically. Indeed if I aspired to his values we would already none be speaking. [20:56, 7/1/2018] George Busfield: So please (re)advise me as to the specific issues you see at hand and I will seek to propose a resolution to all as best I can. Objectively and with focus on the future success of the business that you and I and Lints and Aub have fought so hard for. And where any fault does lay at my door I will acccept and wholeheartedly apologise for it. But hand on heart, as I say I have done my very best to help ensure the prosperity of the business and my close colleagues without exception. [20:56, 7/1/2018] George Busfield: And so to some specifics pease: [20:56, 7/1/2018] George Busfield: please: [20:57, 7/1/2018] George Busfield: 1) please advise on the key issues that you need / feel need to be addressed (apologies for asking you to repeat) but I think important I don't miss anything. [20:58, 7/1/2018] George Busfield: 2) please advise on a practical level if you still wish to eb able to stay at mine and if you think a good idea at this point? (else I will let the rooms out and already have people wanting etc). [20:58, 7/1/2018] George Busfield: 3) please advsie on your monthly travel costs as I want to include / accomodate in the offer to Alex Piper. [20:59, 7/1/2018] George Busfield: 4) please advise on anything else so we can get this ship back on track. thank you. G [21:01, 7/1/2018] George Busfield: ps. Is ok for others to challenge my opinions and decisions - as I say is leadership - but you, all you had to do was ask me personally. [21:01, 7/1/2018] George Busfield: Anyway, let me know on above please. thx [21:56, 7/1/2018] George Busfield: Jase .. yes / no? working on some of the aove now so appreciate your input - if you are too busy that is ok - I will oroceed as best I ffe. let me know. thx [22:17, 7/1/2018] George Busfield: I se you have self approved your bonus payment by the way ... [22:17, 7/1/2018] George Busfield: can you advise on the above [22:17, 7/1/2018] George Busfield: please [22:18, 7/1/2018] Jay: Key issues: * MP share issue should be sorted. I think his concern is that if the company is taking on debt (whether it's lending cash to buy LiveSquawk, or the more recent issues he's raised). * SP matters - this should focus on getting KT paid, antiques can be unwound, and should be, but not as much of a threat of KT. I see them as independent matters. People need assurance here because when £100+K is added at the last minute and directorships / shareholdings get changed as a result of questions being asked, it raises eyebrows. People need to know how it's going to be actioned to know the cash will come back * Staff / Shares - We've lost a lot of decent people and it's put everyone on edge. With all the other matters bubbling up there's a lot of worry that staff concerns are will not be heard. [22:18, 7/1/2018] George Busfield: and also advise who approved the bonus payment ? [22:18, 7/1/2018] George Busfield: (not that I have an issue with you being rewarded FYI) [22:19, 7/1/2018] Jay: Yes, I did, but you approved it on call [22:20, 7/1/2018] Jay: As for staying - the room I was using is full of stuff from 1080 - That needs to be sorted into stuff that needs to be kept or not kept or whatever. Whether I'm there or not, no one can stay there until space is made [22:22, 7/1/2018] Jay: travel costs vary, but assuming I take 2 train trips a month at £150 each way, that's £300 plus a little bit of TfL costs. AP costs should be more stable as he will be taking regular trains where as my visits can be a little last min at times [22:29, 7/1/2018] Jay: I think there is a real long term concern that if people are going to be alienated like has happened in the last month or two, then people really do have worries about you being 52% shareholder. I've raised all this in the call last week... It's better to be just under 50% of something that's ultra successful where people are happy than be over 50% where people aren't happy. It also means if decisions are made as part of a board everyone has to work together to get things passed. It also means if the wrong decisions are made, they aren't scapegoated at one person. [23:04, 7/1/2018] George Busfield: which room is full? [23:05, 7/1/2018] George Busfield: People have been alienated because they either betrayed me or didnt speak to me directly. [23:05, 7/1/2018] George Busfield: I have said I will support the empowerment of a Leadership Steering Committe to executively manage the company. [23:06, 7/1/2018] George Busfield: I will not currently support or advocate andy action that sees my mother's shareholding go below 50%. [23:06, 7/1/2018] George Busfield: this is categorical and a red / blue / pink line in the sand. [23:08, 7/1/2018] George Busfield: Her holding s already made up of many parties that have entrusted theor shares to her. Including Adam Voce / James Voce / my sister and her husband etc - whilst they still entrust her and I to make decisions on their behalf I will not forgoe an ownership position that I and many of such close family and friends have fought and supported for us to retain. [23:09, 7/1/2018] George Busfield: If this is unacceptable then alternate remedies should be considered. But as I say my mother's shareholding is already made up of numerous parties and they still believe and advocate for myself and Voce to represent that on their behalf. [23:15, 7/1/2018] George Busfield: That said I have listened to your and others requests and feedback and will as I say support the empowerment of of a Leadership Steering Committee to manage the executive functions of the business going forward. Indeed I want this from a personal perspective as it will mean less stree and less demands upon myself and an empowered team. But no one hhas the right to try and steal or leverage shares from my family / mother / friends just because they don't like decisions that have been made or because they have all used me as a scapegoat. My family, Adam, James, My Sister and all concerned stand categorically on this point. I have personally, and my family and Voce given much to this endeavour and to this cause, we have never faultered from our integrity or good intent. To ask for these people, my family and closest friends to give up what they are entitled to, and own honourably, and have refuted a seven figure offer to retain in order to proceed with their allies is simply wrong and it will not happen. Save you and / or others are willing to replicate such offer - which you cannot and which we do not want in any regards. [23:15, 7/1/2018] George Busfield: We are and have always been meant to be a team. [23:17, 7/1/2018] George Busfield: Yes we can disagree. And yes accordingly I listen, but that does not give anyone the right to take assets or belongings of any other. And as I say, my family, Adam, James, Nicola, Richard, Libby, Helen, myself and the law are absolutely resolute on this point. [23:18, 7/1/2018] George Busfield: BUT I reiterate - lets get on with empowering a leadership team to address the concerns at hand and get back to working together not attacking ourselves from within - which lets be honest is insane after all we have been through. [23:20, 7/1/2018] George Busfield: may I ask you to transfer the £600 x 12 months rent that is due from July to July for this year? given you have had your bonus now. And please advise which room is full? as I genuinely do have a friend that needs a place. Morever I will need to clear it and would appreciate if you would let me know your own plans. [23:22, 7/1/2018] George Busfield: Despite all that has happened I am still willing to offer you a room at my place - because I want to repair not destroy relationships and trust. But please advise as I will let the room out if you prefer to stay elsewhere. [23:22, 7/1/2018] George Busfield: again please let me know on the above and thank you for the honest feedback above. It is appreciated. [23:23, 7/1/2018] George Busfield: Please try and remember who stood up for this cause and who has put their necks on the line. [23:23, 7/1/2018] George Busfield: I am finishing the offer to Alex now in alignment with the above aspirations. [03:22, 7/2/2018] George Busfield: Can I ask if you are going to provide a signed copy of the Pettman contract tomorrow morning, noting that the share discussions will obviously continue for at least some time and that I have agreed to support a reconciliation of GCV to JET financials under the independent audit and governance of Albie.? [03:25, 7/2/2018] George Busfield: the cntract is clearly hugely advantageous to the company and the share matters and reconciliaton you seek are agreed to be addresseed forthwith. In my opinion, it is hugely unfair to Stuart and to the Company to not honour the agreement and enable him and the company to move forward because of shareholding matters. Indeed I have to advise you that in doing so I believe you are in breach of your fiduciary duty (noting the agreement to the GCV and JET reconciliation is confirmed) and as a friend this is not a position you want to be in. [03:27, 7/2/2018] George Busfield: So please kindly provide me with a signed copy by 9am tomorrow and I will subsequently continue to set about providing you and others with the reconciliation you seek and also set about asisting and facilitating in resolving the shareholder matters that are at hand - I hope and intend in good faith to everyone's satisfaction. [03:29, 7/2/2018] George Busfield: But as I say it is not correct or fair or in the company's interests not t conclude the contract. It provides huge advantages to teh company. The other matters can be progressed this week also. You must not take direction from either an external non-executive 3rd Party or any isolated wantant shareholder. But as said such matters will be addressed in good faith going forward. [03:30, 7/2/2018] George Busfield: Please send me a signed version of the contract by 9am or I shall, given the repeated requests for the same, have to asssume you are unwilling to sign the contract until the shareholding matters and accounting is concluded. [03:32, 7/2/2018] George Busfield: Please undertsand that as above I am trying my upmost to work with you cohesively as a team and I have agreed to support your and others requests but the contract needs to be concluded for the extensive benefits it brings the company. Please kindly provide me with a signed copy by 9am tomorrow such that we can save Stuart more angst - we can sort our internal matters in due course and in the fair and equitable and honourable manner I aspire to above. [03:32, 7/2/2018] George Busfield: Thanks - hope to hear from you by 9am. G
